On February 24, 2011, the Board of Directors of PTT Public Company Limited (PTT), PTT Aromatics and Refining Public Company Limited (PTTAR) and PTT Chemical Public Company Limited (PTTCH) approved the amalgamation between PTTAR and PTTCH.
The amalgamation will be proposed to the shareholders of PTTAR and PTTCH for approval. Such amalgamation will result in the establishment of a new public limited company (MergedCo) in accordance with Public Limited Companies Act, B.E. 2535 (1992). The MergedCo will be positioned as the petrochemical flagship of PTT Group with a total petrochemical production capacity of 8.2 million tones per year and petroleum production capacity of 228,000 barrels per day. It will also rank as Thailand's largest and Asia's leading integrated petrochemical and refining companies.
The amalgamation will increase the MergedCo's products coverage in both olefins and aromatics chains, which improves its competitive advantage as well as the ability to reduce risk inherent in the petrochemical industry. A larger production scale as a result of the amalgamation will enable the MergedCo to leverage its significant economy of scale to reduce unit costs as well as to achieve a fully integrated production process that delivers a more value-added products, especially the ability to pursue additional downstream specialties. The synergy achieved by the consolidation will also unlock greater benefits in terms of production and market optimization.
Positioned as PTT Group's petrochemical flagship, the MergedCo will positively enhance shareholder value. It is also expected to facilitate expanding business opportunities and to build confidence among investors with its position as top five largest market capitalization in the Stock Exchange of Thailand.
Under the plan, the MergedCo would allot 1 existing share of PTTAR for 0.501296791 shares of MergedCo and 1 existing share of PTTCH for 1.980122323 shares of MergedCo. The amalgamation is expected to be completed and the MergedCo's shares will begin trading on the Stock Exchange of Thailand (SET) by 2011.
